These Terms of Service ("Terms") govern your access to and use of the website at usepinion.com (the "Site") and the Pinion software and related services (the "Service"), provided by Pinion Tech LLC ("Pinion," "we," "us," or "our"). By accessing the Site or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind that company.
1. The Site and the Service
The Site provides information about Pinion. The Service is the Pinion software, distributed as a managed package that installs and runs inside your own Salesforce organization. Your use of the Service may also be governed by an order form, subscription, or other written agreement; if there is a conflict, that signed agreement controls over these Terms for the Service.
2. Eligibility and accounts
You must be able to form a binding contract to use the Service. You are responsible for activity that occurs under your account, license keys, and Salesforce org, and for keeping your credentials and activation keys secure.
3. License to use Pinion
Subject to these Terms and payment of applicable fees, Pinion grants you a limited, non-exclusive, non-transferable, non-sublicensable right to install and use the Service for your internal business purposes during your subscription term, for the number of licenses you have purchased. All rights not expressly granted are reserved.
4. Fees, billing, and trials
- The Service is offered on a per-license basis. Current pricing is described on our pricing page and/or your order form.
- Subscriptions may be billed annually or monthly, as selected at purchase. Payments are processed by Stripe.
- Fees are exclusive of taxes, which you are responsible for. Except as required by law or expressly stated, fees are non-refundable.
- We may offer a free trial. At the end of a trial, continued use requires a paid subscription.
5. Your data and your Salesforce org
You retain all rights to the data you create and manage with the Service. The Service runs inside your Salesforce org, and Pinion does not access, host, or transmit that data. You are responsible for your Salesforce environment, your configuration of the Service, your users, and your compliance with laws applicable to your data.
6. Acceptable use
You agree not to:
- reverse engineer, decompile, or attempt to derive source code except as permitted by law;
- resell, sublicense, or provide the Service to third parties as a service bureau;
- circumvent license limits or activation mechanisms;
- use the Service unlawfully or to infringe others' rights; or
- interfere with the integrity or performance of the Service or the Site.
7. Intellectual property
Pinion and its licensors own all right, title, and interest in the Service, the Site, and all related software, content, and trademarks. These Terms do not transfer any ownership to you. Feedback you provide may be used by us without obligation to you.
8. Trials and pre-release features
Trial, beta, or pre-release features are provided "as is," may change or be discontinued at any time, and are excluded from any service commitments.
9. Disclaimers
EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. PINION'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to defend and indemnify Pinion against third-party claims arising out of your use of the Service or your violation of these Terms, except to the extent caused by Pinion.
12. Term and termination
These Terms apply while you use the Site or Service. We may suspend or terminate access for breach or non-payment. On expiration or termination of your subscription, your right to perform new configuration and pricing actions ends; read access to data already in your Salesforce org remains under your control, since that data resides in your org.
13. Third-party services
The Service operates with Salesforce and relies on third-party providers (such as Stripe for payments and Cloudflare for license issuance). Your use of those services is subject to their own terms, and Pinion is not responsible for them.
14. Changes
We may update the Service and these Terms from time to time. Material changes to these Terms will be reflected by the "Last updated" date above, and continued use after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there, except where applicable law provides otherwise.
